    A contractual clause contained in general terms and conditions or boilerplate forms which does not stipulate one of the main mutual services shall be null and void pursuant to article 879 (3) ABGB if, taking into account all circumstances of the case, it grossly discriminates against one of the parties.

  • Sachverhalt

    The plaintiff is an association entitled to seek an injunction according to article 29 (1) KSchG. The defendant is a stock corporation recorded in the commercial register and operates a credit enterprise within the meaning of the Banking Act. In the course of its business activities, the defendant continuously enters into legal transactions with consumers and uses a set of "General Terms and Conditions for Banking Transactions, February 2014 Version" and/or boilerplate forms which contain the disputed clauses.

    A ‘silence deemed as acceptance’ clause, which enables the bank to introduce account maintenance fees for free accounts (here: in the amount of a maximum of EUR 2.00 per month), is subject to content control in accordance with article 879 (3) ABGB and is grossly disadvantageous.

    A ‘silence deemed as acceptance’ clause is intransparent pursuant to Section 6 (3) KSchG if it does not specifically state the reasons for a fee increase in advance. "Changes in the legal and regulatory framework" are not sufficiently specific.
