    A law which effectively extended the unfair contract terms regime applicable to consumer contracts also to contracts involving very small enterprises and their suppliers was held to be unconstitutional.

    The House of Representatives passed the Unfair Contract Terms in Business Contracts Made by Very Small Enterprises Law 2019, which essentially reiterated the main provisions of the Unfair Contract Terms in Consumer Contracts Law 1996. The President of the Republic sought to have the Supreme Court, acting in its Constitutional Court capacity, declare the law unconstitutional.

    Whether a law extending the unfair contract terms regime, in place for consumer contracts in accordance with the EU Directive, to business-to-business transactions violates the constitutionally guaranteed freedom of contract under the Constitution of Cyprus.

  • Απόφαση

    The full bench of the Supreme Court declared the Law unconstitutional and in violation of the freedom of contract. The decision also discusses the purpose and scope of the Unfair Contracts Terms in Consumer Contracts Law 1996, concluding that it implements the Directive 93/13, which only aimed to protect natural persons in their consumer capacity and thus has no application in these cases.

    The Supreme Court, acting in its Constitutional Court capacity, held that the legislation extending the protective regime of the Unfair Contract Terms in Consumer Contracts to small businesses was unconstitutional and annulled the Law. Whereas the decision does not impact the implementation of the Directive, it is telling of the spirit in which Cyprus courts approach legislative interventions in business transactions when not mandated by EU law.
