    In the ruling, the Supreme Court refers to the concept of a premise of actual consumer impact on determining whether the content of a contract provision allows for considering the contract provision unfair. It also analyses whether the entrepreneur can show that the decision was individually agreed because the consumer learned about the content of the clause in a timely manner, and the parties conducted negotiations in this regard.

  • Fakty

    The plaintiff concluded a contract with the entrepreneur, which included, inter alia, a provision regarding the waiver of any claims of the plaintiff due to the preliminary contract. The plaintiff argued that  it was not negotiated,  that they clearly opposed this provision, and the defendant did not react. The Court of Appeal stated that it was a provision of the contract concluded with the consumer but not individually negotiated, which shaped his rights and obligations in a manner contrary to decency, grossly infringing his interests, because by virtue of this provision the defendant freed itself completely from contractual liability.

    In order to fulfil the condition of the actual impact of the consumer on the content of contractual provisions, it is not enough to show that the consumer learned about the content of the clause in a timely manner and the parties conducted negotiations in this regard. It is necessary to prove joint determination of the final wording of the clause, as a result of fair negotiations, in which the consumer had a real impact on the content of a specific contractual provision, unless it was formulated by the consumer and included in the contract at his request.

    The Supreme Court  refused to trial the claim. If an entrepreneur wants to demonstrate that a given provision does not constitute an unfair term, they must prove that it has been negotiated with the consumer and that the consumer has had a real impact on its addition and wording.
